Transfer of Ownership and Liability Agreement

Background and Legal Effect

MAXIM® is a brand of fungicide seed treatments developed by Syngenta, widely recognized for providing early-season protection against soil-borne and seed-borne diseases. The core active ingredient in most MAXIM formulations is fludioxonil, which belongs to the phenylpyrrole chemical class.

RhiNo is a professional potato seed tuber fungicide treatment used to control Rhizoctonia solani (black scurf and stem canker). It is manufactured by Certis Belchim and acts as a key component in integrated potato crop management.

Once applied to seed potatoes, inspection by The Plant Health and Seeds Inspectorate (PHSI) is no longer possible.

The Buyer shall take full responsibility of the seed potatoes prior to the application of the MAXIM or RhiNo treatment. Upon application of the treatment — whether applied by the Buyer or by a third party acting on the Buyer’s instruction or authority — full legal and beneficial title to, and all risk in, the seed potatoes shall irrevocably transfer to the Buyer.

Notwithstanding clauses 10 and 11 of the BPTA Conditions of Purchase and Sale of Seed Potatoes, the Seller shall be fully discharged from all liability whatsoever (whether arising in contract, tort, negligence, breach of statutory duty or otherwise) in respect of the seed potatoes following application of the treatment.

The Buyer expressly waives any and all rights to bring claims for patent or latent defects, deterioration, contamination, performance issues, or any other defect or loss arising after treatment, howsoever caused.

The Buyer retains rights solely in respect of clause 11.3.2 (admixture) under the BPTA Conditions, which shall remain unaffected.

Buyer Acceptance

The Buyer acknowledges and agrees that upon signing this Agreement and permitting the application of MAXIM or RhiNo or treatment, the Buyer assumes full responsibility for the seed potatoes and irrevocably waives any future right of claim or redress against the Seller in respect of any patent or latent defect, quality issue, loss or damage, except as expressly preserved under clause 11.3.2 (admixture).
